Welcome! These Terms of Service (these "Terms") govern your access to and use of GILI (the "Game"), a virtual reality experience developed and operated by QU (Quantum Universe Inc.) ("QU," "Company," "we," "us," and "our"). The Game, together with our websites, official community spaces, and related online services, are referred to collectively as the "Services."

These Terms, together with our Privacy Policy — which is incorporated into these Terms by reference — set forth the legally binding terms and conditions that govern your use of the Services. The Game is licensed, not sold, to you.

1. Access to the Game

1.1 Eligibility

Only persons meeting the following requirements may use the Game:

(a) Persons who are at or above the age of majority in their jurisdiction (18 in most places) who agree to be bound by these Terms; or

(b) Persons who are between 13 and the age of majority in their jurisdiction, who have the consent of, and are under the supervision of, their parent or legal guardian, and who agree — together with their parent or guardian — to these Terms; or

(c) Where supported by the applicable platform, persons under 13 may access the Game only through a platform-level account arrangement set up and managed by their parent or legal guardian, and only to the extent permitted by that platform and applicable law. For example, users aged 10–12 may access the Game through a Meta Parent-Managed Account set up and managed by their parent or legal guardian, provided the parent or guardian has reviewed and approved the request for their child to download and play the Game.

Additional eligibility, account, and platform requirements may apply when accessing the Game through Meta Quest or any other store or platform. We may use third-party age-assurance and parental-consent providers (for example, k-ID) to help confirm eligibility.

1.2 License

Subject to these Terms and your continued compliance with them, and provided you meet the eligibility requirements above, Company grants you a limited, non-transferable, non-exclusive, revocable license to download, install, and use the Game for your personal, non-commercial use on a device you own or control, strictly in accordance with the Game's documentation.

1.3 Certain Restrictions

You shall not: (a) copy, distribute, or transmit the Game except as permitted; (b) license, sell, rent, lease, or otherwise make the Game available to third parties; (c) modify, translate, or make derivative works of the Game; (d) reverse engineer, decompile, or attempt to access the Game's source code; (e) access the Game to build a competing product or service; (f) remove or alter any proprietary notices; (g) circumvent any security, rights-management, or anti-cheat features; or (h) create, use, or distribute cheats, bots, hacks, exploits, unauthorized mods, or any tools designed to gain an unfair advantage, evade enforcement, or interfere with gameplay integrity, moderation, or safety systems.

1.4 Modification of the Game

Company may modify, suspend, or discontinue the Game (in whole or in part) at any time, with or without notice. We will not be liable to you or any third party for any such change.

1.5 Support

You acknowledge that Company has no obligation to provide support or maintenance for the Game, although we may choose to do so.

1.6 Ownership; Reservation of Rights

The Game is provided under license and not sold. You acquire no ownership interest in the Game. Company and its licensors retain all right, title, and interest in and to the Game, including all copyrights, trademarks, and other intellectual property rights.

1.7 Third-Party Platforms

Your access to and use of the Game is also subject to the terms, rules, and policies of the platform through which you download and use it, including Meta Quest. Company is not responsible for the operation of such platforms. If these Terms conflict with a platform's mandatory terms, the platform's terms control solely to the extent of that conflict for that platform.

2. Your Account

To play GILI you must have a valid Meta account (and any account required by another supported platform). We do not administer these accounts — they are administered by Meta or the applicable platform, and each is subject to that provider's terms. You are responsible for all activity that occurs under your account, whether or not you authorized it. If we are notified that you are an underage user accessing the Game without a required Parent-Managed Account or parental consent, your access may be suspended or terminated at the request of Meta or another platform.

3. Acceptable Use and User Content

3.1 User Content

"User Content" means any content you submit to or use with the Game or our community spaces, including voice chat, text chat ("whispers"), display names, gameplay clips, screenshots, feedback, and similar materials.

3.2 Your Responsibility and License to Us

You are solely responsible for your User Content and assume all risks associated with it. You grant Company a worldwide, non-exclusive, royalty-free license to host, reproduce, display, and use your User Content for the purpose of operating, moderating, promoting, and improving the Game. Certain User Content may be processed by our third-party service providers for moderation, safety, community management, hosting, gameplay integrity, and customer support.

3.3 Acceptable Use Policy

You agree not to submit, transmit, or share any content, or engage in any conduct, that:

• is unlawful, harassing, abusive, threatening, hateful, defamatory, obscene, sexually explicit, or otherwise objectionable;
• is harmful to minors in any way, including grooming, sexualization, or attempts to obtain personal information from a minor;
• violates any third party's intellectual property, privacy, or publicity rights;
• shares another person's private or personal information without consent;
• impersonates any person, or misrepresents your identity or age;
• distributes viruses or malicious code, or spams other users;
• harvests or collects information about other users without their consent;
• interferes with, disrupts, or overburdens the Services or servers;
• cheats, exploits, or uses unauthorized software; or
• evades, disables, probes, or tests any moderation, safety, or anti-cheat systems, or abuses reporting or safety tools (for example, submitting false reports).

3.4 Enforcement

We may review User Content and investigate suspected violations. We (and our service providers) may use automated tools and human review to detect, moderate, flag, and act on cheating, abuse, harassment, fraud, or other violations. We may remove content and suspend, restrict, or terminate accounts at our discretion.

3.5 Feedback

If you give us feedback, ideas, or suggestions, you grant us the right to use them freely, without obligation to you.

4. AI Systems Disclosure

GILI is created using an AI-assisted development workflow, and we use AI systems to help operate the Game — which may include moderation, safety, anti-cheat, and gameplay-analytics functions. By playing the Game or submitting User Content, you acknowledge and agree that your gameplay data and User Content may be processed by these AI systems and may be used to train or improve them.

Please do not input sensitive, confidential, or personally identifiable information into the Game, voice chat, or any Game feature. While we take reasonable precautions to protect data, we do not guarantee that AI processing will exclude or anonymize user-submitted content. Use of the Game is at your own risk.

5. Voice, Social, and Multiplayer Features

GILI is an online, social game. It includes real-time proximity voice chat, text "whispers," a friend system, and cooperative and multi-rider play.

Play kindly. You agree to follow our community rules and to treat other players with respect.

Safety tools. You can block, mute, and report other players at any time. We encourage you to use these tools, and to tell a parent, guardian, or trusted adult if something makes you uncomfortable.

Voice is processed. Voice chat may be transmitted and processed to enable the feature and to support safety and moderation, as described in the Privacy Policy.

No unauthorized recording. Do not record, capture, or share other players' voice or content in violation of applicable law or their rights.

We are not responsible for the conduct of other players, but we will act on violations we become aware of, consistent with Section 3.4.

6. Device Requirements

The Game requires a compatible device (for example, supported Meta Quest headsets). A current list is available on our store page(s) and the applicable marketplace. Features may vary by device.

7. Updates

We may develop and provide updates, including upgrades, bug fixes, patches, and new features. Because GILI is built with a small team and an AI-assisted workflow, we aim to update frequently; however, we have no obligation to provide any particular update, feature, or content.

8. Purchases

Purchases in the Game are processed by the marketplace where you downloaded the Game (for example, Meta) and are governed by that marketplace's terms of sale. Subscriptions, refunds, wallet balances, and other commerce functions may be administered by that marketplace under its own policies. We may change pricing at any time.

9. Virtual Items and Currencies

9.1 Pearls, Shells, and Items

The Game includes virtual currencies — "Pearls" (premium currency) and "Shells" (earned currency) — and virtual items, bundles, and packs (collectively, "Digital Items").

9.2 License, Not Ownership

You do not own Digital Items. You receive a limited, personal, revocable license to use them within the Game. Any balance of Digital Items does not reflect any real-world stored value or cash value.

9.3 Final Sale; No Refunds

Except where required by applicable law or platform policy, all sales of Digital Items are final and non-refundable once completed.

9.4 Non-Transferable

Digital Items are linked to your account on the marketplace where you made the purchase and cannot be transferred between accounts, users, or platforms.

9.5 Control and Changes

We may create, control, regulate, modify, or remove Digital Items, and may limit purchase quantities, at any time without liability to you.

9.6 Forfeiture on Termination

If your account is suspended or terminated under these Terms, you may lose any Digital Items you have accumulated, and we will not compensate you for this loss.

9.7 Purchases and Minors

Purchases require the eligibility and, where applicable, the parental consent described in Section 1.1. Parents and guardians are responsible for purchases made through accounts they manage. Manage purchase permissions through your platform's parental controls (for example, Meta parental controls).

10. Indemnification

You agree to indemnify and hold harmless Company from any losses, damages, liabilities, claims, and expenses arising out of your use of the Game, your User Content, your violation of these Terms, or your violation of any law or the rights of any third party.

11. Third-Party Services

The Game may rely on or link to third-party platforms and providers, including without limitation Meta Quest, Photon (voice/networking), k-ID (age assurance), Discord, analytics providers, and cloud/hosting and moderation providers. These services are not under our control, may be governed by their own terms and privacy policies, and we are not responsible for their content, availability, or practices.

12. Disclaimers

THE GAME IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE GAME, ANY THIRD-PARTY SERVICE, OR ANY MODERATION, ANTI-CHEAT, OR AI-ENABLED FUNCTION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, GOODWILL, OR PROFITS. COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE GAME WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID TO US FOR THE GAME IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) [USD $50 / equivalent]. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Term and Termination

These Terms apply from the moment you download or use the Game. We may suspend, restrict, or terminate your access at any time — including for suspected cheating, fraud, abuse, harassment, platform-policy violations, security risks, or violations of these Terms or our community rules. On termination, you must stop using the Game and delete all copies. Sections that by their nature should survive (including Sections 9–13 and 15–16) will survive termination.

15. Intellectual Property and Copyright Complaints

We respect intellectual property rights. If you believe content in the Game infringes your copyright, please contact us at support@quantumuniverse.co with: (a) identification of the work claimed to be infringed; (b) identification of the allegedly infringing material and its location; (c) your contact information; (d) a statement of good-faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that your notice is accurate and that you are authorized to act. We may remove infringing content and terminate repeat infringers. [Adapt to DMCA (US) and/or Republic of Korea notice-and-takedown procedures as advised by counsel.]

16. Minors and Parental Rights

GILI is intended for players who meet the eligibility rules in Section 1.1. We do not knowingly collect personal information from children in violation of applicable law. Parents and guardians who believe their child has used the Game without appropriate consent, or who wish to review, delete, or stop further collection of their child's information, may contact us at support@quantumuniverse.co. 17. General

17.1 Changes to these Terms. We may revise these Terms from time to time. Material changes will be effective upon notice to you or posting in the Game, and — consistent with our login flow — you will be asked to review and accept the updated Terms the next time you play. Continued use after changes take effect constitutes acceptance.

17.2 Governing Law. These Terms are governed by the laws of [Republic of Korea / other jurisdiction to be confirmed], without regard to conflict-of-laws rules. [Specify venue / dispute-resolution mechanism as advised by counsel. If distributing in the US, counsel may add arbitration, class-action waiver, and jury-trial-waiver provisions where enforceable.]

17.3 Electronic Communications. You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that such communications be in writing.

17.4 Severability. If any provision is found unenforceable, the remaining provisions remain in full effect.

17.5 No Waiver. Our failure to enforce any provision is not a waiver of it.

17.6 Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the Game.
